Trade secret records timestamping: the short answer

Trade secret records timestamping means anchoring a SHA-256 fingerprint of a confidential document, such as a formula, process sheet or source archive, to the Bitcoin blockchain without disclosing the content. Later, if a former employee or partner claims they developed the same thing, you can show your exact file existed no later than the recorded time. Only the fingerprint is recorded, so the secret stays secret. A timestamp doesn’t make information a trade secret. That depends on keeping it confidential, through access limits, NDAs and staff agreements, and on the law where you are. In Australia, IP Australia’s Types of IP page says trade secrets aren’t registered with an IP office and can be protected with secrecy and confidentiality agreements. Keep the original file unchanged, because re-saving changes its fingerprint.

What is TimeBinder? TimeBinder is a blockchain timestamping service. It shows that a digital file existed no later than a specific time, and that it still matches its fingerprint, by anchoring the file’s SHA-256 fingerprint to the Bitcoin blockchain. Files are hashed in your browser and never uploaded, and each TimeBind comes with a Proof of Time Certificate that can be checked later. It does not prove who created a file or that its contents are true.

Why trade secret records timestamping fits confidential information

Most ways of dating a document involve showing it to someone: filing it, emailing it or publishing it. That defeats the point when the value is in nobody else knowing. A TimeBind works differently. Each file is hashed locally on your own computer, and only its SHA-256 fingerprint is recorded on the Bitcoin blockchain. The fingerprint can’t be turned back into the file.

That gives you a dated record you can produce later, by showing the original file and its certificate to the people who need to see them, such as your lawyer. Until then, nothing about the content is disclosed.

It’s a different trade-off from a patent. IP Australia’s page on non-disclosure agreements notes that some businesses keep information secret instead of having it exposed when a patent specification is made public. A timestamp fits alongside that choice. It doesn’t give you exclusive rights.

What to record: formulas, processes, source code, customer methods

  • Formulas and recipes, each released version. For food businesses, see how to protect your recipes.
  • Process sheets and manufacturing methods, including settings and tolerances.
  • Source code, as an archive of each release. See source code timestamping.
  • Customer methods, pricing models and supplier terms that give you an edge.
  • Test results and lab notebooks behind a formula or process.
  • Your internal list of confidential information, and each version of your NDA and staff confidentiality terms.

Store the exact files you timestamp somewhere safe and unchanged. Re-saving, converting or editing a file gives it a different fingerprint, so a copy that has been opened and saved won’t match. Keep descriptions you share with a certificate general, and don’t put the secret itself in a file name.

Pair it with access controls and NDAs

A timestamp records when a file existed. Keeping it secret is a separate job, and it’s the part the law generally looks at. Practical steps include:

  • limiting access to the people who need it, with logins and locked folders
  • using confidentiality agreements with partners, suppliers and contractors before you share anything
  • including confidentiality terms in staff agreements
  • marking confidential material as confidential
  • keeping a record of who was given access, and when

Timestamp these records too. A dated copy of the NDA version a partner signed, or of the access list on a given day, can sit beside the dated formula. For new inventions, see invention records timestamping.

What it doesn’t do

  • It doesn’t make information confidential, or make it a trade secret.
  • It doesn’t show who created the information, or that someone else copied it. Someone else may develop the same thing independently.
  • It doesn’t give exclusive rights the way a patent or registered design can.
  • It doesn’t show the file existed any earlier than the recorded time.
  • It doesn’t decide how a court or anyone else will treat the record. That depends on the facts and the law where you are.

What a timestamp shows, and what it doesn’t

What it shows

  • That this exact file existed no later than the time recorded on the Bitcoin blockchain
  • That a file shown later still matches its fingerprint: the same file gives the same fingerprint, and any edit gives a different one
  • A record of timing that doesn’t require you to disclose the file

What it doesn’t show

  • That the information is a trade secret, or confidential
  • Who created or owns the information
  • That the file existed any earlier than the recorded time
  • How a court or anyone else will treat it. It isn’t legal advice

Pooled TimeBinds (1 Token) are verified through TimeBinder and are usually recorded within 24 to 48 hours, and often sooner, depending on Bitcoin network activity. ASAP TimeBinds (3 Tokens) can be verified independently from the certificate and the Bitcoin blockchain. Checking a TimeBind is always free.

Which plan suits trade secret records

A Pooled TimeBind uses 1 Token and an ASAP TimeBind uses 3, and each holds up to 10 files. The Free plan includes 1 Token every month. Essential is USD $20 a month for 5 Tokens and Expert is USD $50 a month for 15. For a company recording many versions, Business is USD $149 a month for 60 Tokens with one company account and a monthly invoice. See TimeBinder business plans. Trade secret records timestamping: FAQ

Does timestamping make something a trade secret?

No. Whether information is protected depends on keeping it confidential, through access limits, confidentiality agreements and staff agreements, and on the law where you are. A timestamp is a dated record of a file, nothing more.

Can anyone read my file from the blockchain?

No. Only a SHA-256 fingerprint of the file is recorded. The fingerprint can’t be turned back into the file, and the file is never uploaded.

How often should we timestamp a formula that changes?

Timestamp each version you release or start using, and keep each exact file unchanged. That gives you a dated history of how the formula developed.

Is this better than filing a patent?

They’re different tools. A patent gives registered rights, but the patent specification is made public. A timestamp keeps the information secret but gives no exclusive rights. Some businesses use both for different things. See invention records timestamping, and speak to a patent attorney before you decide.

Pooled or ASAP?

Use ASAP (3 Tokens) for key records, because it can be checked independently from the certificate and the Bitcoin blockchain. Pooled (1 Token) is verified through TimeBinder and suits routine versions.

Timestamp your confidential records

Record a fingerprint of each formula, process or source archive without revealing it.

  1. Choose the exact files and keep unchanged copies.
  2. Create a TimeBind. Files are hashed in your browser.
  3. Store the certificate with the files, away from general access.
